The role of the Assistant Company Secretary is to support the Head of Governance and Group Company Secretary in providing an innovative and efficient governance function to RICS which has a largely elected Governing Council as its governing body. The Governance team is responsible for administering and developing the institutional governance structure within RICS globally and for ensuring the compliance of RICS’ legal entities with regulators worldwide.

Key Achievements & Responsibilities

  • Assisting the Head of Governance and Group Company Secretary with the management of the daily BAU by ensuring that deadlines for both the institutional governance and entity management functions are met.
  • Developing systems, processes and templates to ensure we have records, procedures and policies in place which are fit for purpose.
  • Acting as Meeting Secretary to the Nominations and Remuneration Committee and the Audit, Risk Assurance and Finance Committee providing the full range of meeting support services. Flexibility to assist with providing meeting support services to other governance bodies as required.
  • Running and assisting with extensive, complex non-executive recruitment and selection processes to enable the appointment of the right people to our governance roles using recognised fair and transparent procedures which are relevant to the not for profit, public interest sector.
  • Collating and circulating papers for formal governance meetings and subsidiary board meetings using specific governance software as well as drafting documents such as reports, advice, formal minutes of meetings and board resolutions.
  • Dealing with a wide range of entity compliance matters for entities within our global structure
  • Providing advice and support to our global offices on governance as well as entity regulatory and compliance matters.

Experience Required

  • Able to facilitate the Nominations and Remuneration Committee and Audit, Risk Assurance and Finance Committee will minimal supervision
  • To become a respected and trusted adviser on governance matters internally and with our non-executives
  • Able to understand the differences and sensitivities around a governance structure which is led by a predominantly elected Council
  • Able to organise workload to ensure that all deadlines are met for both the institutional governance and entity management functions
  • Able to input into ideas and projects to develop systems and procedures to ensure and improve the smooth running of the function enabling the function to become more proactive rather than reactive

A Chartered Governance Professional with broad governance experience in the not-for-profit, public interest sector including experience of providing meetings support services, non-executive recruitment, entity compliance and developing governance systems and processes. The successful individual will need to possess a high level of emotional intelligence as well as being, energetic and flexible as well as hard-working and comfortable liaising with people at the most the senior level within the organisation.
